Annex to the Miamgo Merchant GTC · Version 1.8 — 13 October 2026

1 — Scope and operator

These Pricing Terms carry the amounts owed by the Merchant. They form an integral part of the Merchant GTC in the version accepted by the Merchant, art. 5 of which determines the nature of the items and the manner in which they are collected. All amounts are in Swiss francs.

The service is operated by Stéphane Decor, Spalenring 63, 4055 Basel, contact@miamgo.shop (operating the "Miamgo" service, hereinafter "Miamgo"); "Miamgo" is a trade name and does not designate a separate legal entity.

At present, the operator is not liable for VAT (art. 10 VAT Act (LTVA)): no amount is increased by the tax and no document issued in Miamgo's name mentions it. Should the operator become liable, it informs the Merchant as soon as the liability is established and at the latest on the first invoice concerned; since liability arises by operation of law, no notice period can be guaranteed.

The Merchant is presented with, and may at any time download, the version of these Terms applicable to him together with the date of his acceptance — and not the latest published version. The same applies to any subscription offer he has accepted.

2 — Calendar month and time zone

Every count provided for in these Terms or in a subscription offer — amounts per sale, customer introductions, included introductions, the statement — attaches to the calendar month, from its first day at 00:00 to its last day at 24:00, Zurich time (Europe/Zurich time zone, including summer time).

Where the technical moment at which an operation is executed departs from that reference, the calendar month within the meaning of this section prevails for every amount due and for every number of included introductions.

3 — Amount per recorded sale

CHF 0.08 per counter sale collected via the Platform and CHF 0.30 per pre-order, whatever the amount of the sale. Both amounts are fixed and do not depend on the amount of the sale (art. 5 let. b of the Merchant GTC).

A sale is counted when the payment is captured and confirmed by the payment institution. A sale refunded in full is no longer counted and the amounts levied in respect of it are returned to the Merchant; a partial refund has no effect on the amount due, which is fixed.

A sale is counted only once: a duplicate technical record, a replay or a page reload give rise to no additional amount. A sale not carrying the minimum data — merchant, location, timestamp and amount — is not counted.

4 — Amount per customer introduction

CHF 2.50 per pre-order from a Customer who had never ordered from the Merchant via the Platform. This amount replaces that of no. 3 for that transaction; it is not added to it.

An introduction is due only once per Merchant–Customer pair. It presupposes a pre-order and an identified Customer: a counter sale never opens a right to an introduction and, where it is the pair's first transaction, extinguishes that right definitively. A pre-order refunded in full does not consume the right to the introduction and the amount levied is returned.

5 — Subscription

Miamgo may offer the Merchant a subscription reducing the amounts under nos. 3 and 4. A subscription arises solely from the express acceptance of a specified offer. That offer states, in figures and for that Merchant alone: the price, the number of customer introductions included per calendar month, the period during which that price and that number are guaranteed, and the services included.

During the agreed period, neither the price nor the number of included introductions is altered; that period binds Miamgo and creates no minimum term binding the Merchant, who is bound only by an annual period he chooses and pays in advance, until its expiry. Upon expiry of the subscription period, the subscription continues without interruption and the Merchant chooses the billing frequency of the following period, monthly or annual; where the expiring period is annual, Miamgo informs him at least sixty (60) days beforehand, with both amounts and the deadline for the choice. Absent a choice, the subscription continues on a monthly basis, terminable with effect at the end of each calendar month, and no annual period paid in advance may result from the Merchant's silence. Upon expiry of the guaranteed period, and absent the express acceptance of a new offer, the amounts under nos. 3 and 4 apply again in full; Miamgo sends the Merchant a new offer before that expiry.

These Terms continue to apply to everything the offer does not govern. The Merchant may terminate his subscription with effect at the end of the current period, without notice and without charge; an annual subscription is not refundable (art. 5 bis para. 4 of the Merchant GTC).

5 bis — Basic subscription

Every Merchant holds the basic subscription, due as soon as his account is able to collect and never before. Its price appears in the offer presented to him before his account is opened. It reduces the amounts under nos. 3 and 4 to the extent stated in that offer. The Merchant may at any time accept an offer for another subscription; he may not waive the basic subscription without terminating the contract.

6 — Payment institution fees

Re-invoiced at actual cost, without markup, as read from the balance transaction (BalanceTransaction) of each collection, for the pre-order as for the counter sale. No estimate, no average rate, no rounding up.

The amount actually incurred for each sale appears in the detail attached to the monthly statement (art. 7 bis of the Merchant GTC).

Where the actual amount of those fees is known only after collection, the difference between the fees retained and the fees actually incurred during the calendar month is shown in that month's statement, in a single line, positive or negative, determined to the centime. That adjustment is not remuneration of Miamgo and contains no margin.

6 bis — Weekly payout fees

The monthly payout is free of charge. In weekly cadence, the first payout of each calendar month is free of charge; each further payout in the same month gives rise to reimbursement of the fee which the payment institution charges Miamgo for that payout, at actual cost, without markup, plus only the cost of collecting that reimbursement. A payout which the Merchant triggers himself with the payment institution is treated as a further payout, whatever his cadence.

The amount per payout is set each month on the basis of the payment institution's latest invoice and communicated to the Merchant before any collection. On the date of these Terms, the payment institution charges no payout fee: the amount is CHF 0.00 and nothing is invoiced. That amount follows actual cost; a change in it is not a revision within the meaning of art. 7 of the Merchant GTC.

Before the first collection of an amount above zero, and before any increase, Miamgo informs Merchants in weekly cadence thirty (30) days in advance; they may move to the monthly payout free of charge, with effect from the next payout. The amount is never deducted from the sums collected on the Merchant's behalf: it is collected under no. 9 bis; in annual frequency, the amounts are accumulated and invoiced once they reach CHF 5.00, failing which with the closing balance.

7 — Dispute fees

Governed by art. 8 bis.3 of the Merchant GTC. Miamgo waives the re-invoicing of these fees until the date of acceptance of these Terms by the Merchant; that waiver ends on that date. Until then, the dispute fees borne by Miamgo appear in the monthly statement as an information line at CHF 0.00, with the end date as it results from the acceptance. From that date, they are re-invoiced at actual cost, without margin, and re-credited if the payment institution refunds the dispute fee. A Merchant whose acceptance is subsequent enjoys no waiver.

8 — What is not charged

No registration, account-opening, administrative, training, set-up, exit or termination fee. No penalty. No minimum amount charged to the Merchant: no minimum turnover, no floor amount per sale, no minimum flat fee. The minimum order amount which the Client GTC impose on the Client, and which is shown to him before he confirms his order, is not an amount due to Miamgo and is not covered by this number. The basic subscription under no. 5 bis is neither a registration fee nor a minimum amount: it is the periodic consideration for the services the offer lists.

9 — Manner of collection

----------------------------------------------------------------------- Item How it is collected Appears on the statement ----------------------- ----------------------- ----------------------- Subscription Collected by the Yes, as already levied payment institution from the Merchant's means of payment

Amount per recorded Levied upon collection Yes, as already levied sale

Amount per customer Levied upon collection Yes, as already levied introduction

Payment institution Levied upon collection Yes, as already levied fees

Weekly payout fees Carried on the next Yes, before any subscription invoice collection (no. 9 bis); never levied upon collection -----------------------------------------------------------------------

Levying upon collection is to be understood within the meaning of art. 5 of the Merchant GTC: a deduction made from the proceeds of a sale before they are made available to the Merchant, whether the amount is determined at the time of collection or as soon as the payment institution has fixed it.

The monthly statement under art. 7 bis of the Merchant GTC calls for no payment in respect of items already levied. An amount already levied may not be claimed a second time.

9 bis — Fallback collection channel

Where an amount owed to Miamgo could not be retained upon collection — adjustment under no. 6, excess refund, provider cost not refunded — or may not be — weekly payout fees under no. 6 bis —, it is carried on the next subscription invoice as a separate item, labelled in plain language and itemised. The Merchant is informed of it in the monthly statement before any collection. Such an amount is never retained on the sums collected on the Merchant's behalf.

10 — Calculation and rounding

Amounts are calculated in whole centimes. The total of a line is the product of the quantity and the unit amount; rounding occurs only once, at the level of the statement, never sale by sale. Every count attaches to the calendar month under no. 2.

Where these Terms provide for a calculation pro rata, that calculation is understood pro rata temporis over the duration remaining of the period paid for. The exact amount, settled in whole centimes, is displayed to the Merchant before he confirms the operation; the amount displayed is the amount due, whatever the granularity of the calculation performed by the system.

11 — Entry into force and revision

These Terms enter into force, in respect of each Merchant, on the date of its express acceptance where it was bound by no earlier tariff, and on the date resulting from art. 7 of the Merchant GTC otherwise. They apply only to sales subsequent to that date.

They may be revised under art. 7 of the Merchant GTC, which classifies each revision and sets the applicable period; the notice for an unfavourable revision is sixty (60) days, which the Merchant may waive in writing for a given revision. Their revision does not amend the Merchant GTC and alters none of the figures of an accepted subscription offer during the period guaranteed by that offer.

12 — Experimental tariff

This tariff is experimental. It may be revised by mutual agreement at the end of the pilot phase, or earlier if the Parties consider it necessary.
